Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Oryn ("we," "us," or "our"), governing your access to and use of the Oryn platform at useoryn.com and the Oryn web application (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. These Terms incorporate our Privacy Policy.

1. The Service

Oryn is an AI-powered research productivity platform that assists researchers with systematic review screening and data extraction from published research papers.

The Service uses third-party artificial intelligence models to process research content. AI models are provided by third parties and may be updated or changed by their providers without notice to us. We do not control the underlying AI models.

The Service is a tool to assist qualified researchers. It is not a substitute for professional judgement, independent verification, or peer review. We may add, modify, or remove features at any time.

2. Accounts

You must create an account to use the Service. You agree to provide accurate information, keep your credentials confidential, and not share your account. Each individual must maintain their own account. You are responsible for all activity under your account.

If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Upload documents containing identifiable patient data or Protected Health Information
  • Use automated tools, bots, or scrapers to access the Service
  • Attempt to reverse engineer, decompile, or derive the source code, algorithms, or prompts of the Service
  • Use the Service to develop a competing product or service
  • Circumvent any security or access-control features
  • Resell or redistribute AI-generated outputs as a standalone service
  • Misrepresent AI outputs as independently verified when they have not been
  • Use AI outputs as the sole basis for clinical decisions, treatment planning, or patient care

4. AI Disclaimer

Oryn is not a medical device. It is a research productivity tool. It does not provide medical advice, clinical recommendations, or diagnostic information.

AI outputs are assistive, not definitive. AI-generated screening recommendations, extraction results, confidence scores, and reasoning may contain errors, omissions, or inaccuracies. You are solely responsible for verifying all AI outputs before relying on them for any purpose, including publication, guideline development, or institutional decision-making.

5. Data Ownership and Intellectual Property

Your Content

You retain all ownership rights to content you upload ("User Content"), including research papers, screening criteria, and project data. By uploading, you grant us a limited licence to process and store your content solely to provide the Service. This licence terminates when you delete your content or close your account.

AI Outputs

All AI-generated outputs produced in response to your content belong to you.

Our Intellectual Property

All intellectual property in the Service — including algorithms, software, interface design, screening methodologies, and prompt engineering — is and remains our exclusive property.

6. Privacy and Data Processing

Your use of the Service is governed by our Privacy Policy. Your data may be processed by third-party service providers, including cloud infrastructure providers, AI model providers, and analytics providers, some of which are located outside your jurisdiction.

7. Pricing and Payments

The Service operates on a usage-based pricing model. Current pricing is available at useoryn.com/pricing. We may change pricing at any time with at least 30 days' notice by email. Price changes do not apply retroactively.

We may offer free tiers or trials at our discretion, subject to usage limits that may change at any time.

No refunds are available for completed AI operations, as the underlying cost has already been incurred.

8. Service Availability

The Service is provided on an "as available" basis. We do not guarantee any specific level of availability, uptime, or performance.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Liability cap. Our total aggregate liability to you for all claims arising from these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim. If you have not paid any fees, our maximum aggregate liability shall not exceed ten pounds sterling (£10).

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Oryn and its founders, officers, and affiliates from any claims, liabilities, damages, and expenses arising from: your breach of these Terms; your use of or reliance on AI outputs; your upload of content you do not have the right to use; or your violation of any applicable law.

11. Termination

By you: You may close your account at any time by contacting admin@useoryn.com or using the account deletion feature.

By us: We may suspend or terminate your account if you violate these Terms, if your account is inactive for 12 months, if required by law, or for any other reason with 30 days' notice.

After termination: You have a 90-day grace period to export your data. After 90 days, all data associated with your account is permanently deleted.

12. Dispute Resolution

Before taking any legal action, you agree to contact us at admin@useoryn.com and attempt to resolve the dispute informally for at least 30 days.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Any claim arising from your use of the Service must be filed within one (1) year after the claim arose.

13. Changes to Terms

We may update these Terms at any time. For material changes, we will notify you by email at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.

14. General

These Terms constitute the entire agreement between you and Oryn regarding the Service. If any provision is held unenforceable, it shall be modified to the minimum extent necessary; remaining provisions continue in full force. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
